2. Service Description
TulipsHRM provides cloud-based human resources management software, including but not limited to:
- Employee information management and HRIS functionality
- Time and attendance tracking systems
- Leave management and approval workflows
- Performance management and review processes
- Payroll processing and integrations
- Reporting and analytics tools
- Mobile applications for employee self-service
- API access and third-party integrations
3. User Accounts
Account Registration
To use our services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials.

- Maintain accurate and up-to-date account information
- Keep your password secure and confidential
- Notify us immediately of any unauthorized access
- Accept responsibility for all activities under your account
- Comply with all applicable laws and regulations
4. Acceptable Use Policy
You agree not to use our services for any purpose that is unlawful or prohibited by these terms. Prohibited activities include but are not limited to:
- Violating any applicable laws or regulations

We implement industry-standard security measures to protect your data. However, you acknowledge that no method of transmission over the internet is 100% secure.
6. Payment Terms
Subscription Fees
Our services are provided on a subscription basis. Fees are charged in advance on a monthly or annual basis, depending on your chosen plan.
Payment Processing
- Payment is due immediately upon subscription activation
- We accept major credit cards and ACH transfers
- All fees are non-refundable except as required by law
- Price changes will be communicated 30 days in advance
- Late payments may result in service suspension
Free Trial
We may offer free trials for new customers. Trial periods and limitations will be clearly communicated during sign-up.
7. Intellectual Property Rights
Our Rights
TulipsHRM and its licensors own all rights, title, and interest in the service, including all intellectual property rights. This includes but is not limited to software, designs, text, graphics, and trademarks.
License Grant
We grant you a limited, non-exclusive, non-transferable license to use our services in accordance with these terms.
8. Service Availability
We strive to maintain high service availability but cannot guarantee uninterrupted access. Our target uptime is 99.9%, and we will communicate any planned maintenance in advance.
We reserve the right to modify, suspend, or discontinue any part of our services with appropriate notice to users.
9. Termination
Termination by You
You may terminate your account at any time through your account settings or by contacting our support team.
Termination by Us
We may terminate or suspend your account immediately if you violate these terms or engage in prohibited activities.
Effect of Termination
Upon termination, your access to the services will cease, and we will provide you with an opportunity to export your data within a reasonable timeframe.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the services will be uninterrupted, error-free, or completely secure. Your use of the services is at your own risk.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TULIPSHRM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE.
Our total liability to you for any claims arising out of or relating to these terms or the services shall not exceed the amount paid by you to us in the twelve months preceding the claim.
12. Governing Law and Disputes
These terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
Any disputes arising out of or relating to these terms or the services will be resolved through binding arbitration, except that either party may seek injunctive relief in court to protect intellectual property rights.
